Senior Corporate Paralegal

About the Role: We are seeking an experienced Senior Corporate Paralegal to join our Corporate Services team and play a key role in supporting a sophisticated business law practice. This position offers the opportunity to work on a diverse range of complex corporate matters, including incorporations, mergers and acquisitions, corporate reorganizations, governance, and regulatory compliance.
Working closely with lawyers, clients, and business stakeholders, you will provide high-level legal and transactional support while helping ensure the efficient execution of corporate transactions. In addition to managing complex files independently, you will serve as a mentor to junior paralegals and legal assistants, fostering collaboration, knowledge sharing, and professional development across the team.
Responsabilités clés
- Draft, review, and manage legal documentation relating to incorporations, reorganizations, mergers and acquisitions, corporate governance, and other corporate transactions.
- Prepare resolutions, minutes, share certificates, corporate records, and other transactional documentation with minimal supervision.
- Conduct corporate due diligence and assist with transaction closings, including preparing closing agendas, checklists, and supporting documentation.
- Maintain, update, and organize corporate records and minute books while ensuring compliance with applicable federal and provincial legislation.
- Coordinate and file corporate documents with governmental and regulatory authorities, including corporate registries and regulatory agencies.
- Perform corporate, legal, bankruptcy, registry, and due diligence searches using relevant legal databases and online resources.
- Review corporate minute books, identify deficiencies, prepare detailed reports, and draft corrective documentation where required.
- Support lawyers by responding to client inquiries and ensuring the timely delivery of high-quality legal services.
- Collaborate with clients, external agencies, and internal teams throughout the lifecycle of corporate transactions.
- Mentor, train, and provide day-to-day guidance to junior paralegals and legal assistants.
- Maintain accurate legal records while ensuring confidentiality, compliance, and exceptional attention to detail.
- Contribute to process improvements and support the continued growth and efficiency of the Corporate Services team.
Qualifications
- Diploma of College Studies (DEC/DCS) in Paralegal Technology, Certificate in Law, or an equivalent legal qualification.
- 5 8 years of experience as a Corporate Paralegal within a corporate services or business law environment.
- Strong knowledge of corporate law, corporate governance, incorporations, reorganizations, and mergers and acquisitions.
- Experience preparing and filing corporate documents with federal and provincial regulatory authorities.
- Strong legal research skills and experience conducting corporate and regulatory searches.
- Proven ability to review, analyze, and prepare complex legal documentation with exceptional accuracy.
- Proficiency with Microsoft Office Suite and strong technical aptitude.
- Excellent organizational and time management skills with the ability to manage multiple priorities and deadlines.
- Exceptional attention to detail, professionalism, and discretion when handling confidential information.
- Outstanding written and verbal communication skills.
- Strong client service orientation and relationship management skills.
- Ability to work independently while contributing effectively within a collaborative team environment.
- Full professional proficiency in both French and English, with excellent written and verbal communication skills.
